1. Introduction
1.1 These Terms & Conditions govern the supply by us of any product ordered by you on the site. By agreeing to order a product, you agree to be legally bound by these Terms & Conditions.
1.2 In this site:
- "Account" means the account that you register for on the website;
- "Acknowledgement" means our acknowledgement of your order by email;
- "Breach of Duty" has the meaning given to it in clause 9.11(b);
- "Working day" means a day which is neither a Saturday nor Sunday, nor a public holiday in Singapore;
- "Confirmation of order" means our email to you, in which we accept your order in accordance with clause 3.9;
- "Contract" means your order of product(s) which we accept in accordance with clause 3.9 below;
- "Customer" means individual who places an order on the website;
- "Liability" has the meaning given to it in clause 9.11(a);
- "Order" means the order submitted by you to the website to purchase Product(s);
- "You" means the Customer who places an order;
- References to "clauses" are clauses of these Terms & Conditions;
- Words imparting the singular shall include the plural and vice versa. Words imparting a gender shall include every gender and references to persons shall include an individual, company, corporation, firm or partnership;
- References to "includes" or similar expressions shall mean without limitation.
1.3 These Terms & Conditions are our copyrighted intellectual property. Use by third parties – even extracts for the commercial purposes of offering goods and/or services – is not permitted. Infringements may be subject to legal action.
2. Effect
2.1 These Terms & Conditions shall apply to all contracts made or to be made by us for the sale of products. Nothing stated here affects your statutory rights.
2.2 These Terms & Conditions shall prevail over any separate terms put forward by you. Any conditions that you submit in whatever form and at whatever time, whether in writing, by email or orally, are expressly waived and excluded.
2.3 No other terms or changes shall be binding unless agreed in writing signed by us.
3. How a Contract is Formed
3.1 When making an Order, you may register for an account on the website as detailed in clause 9, and follow the instructions on the website on how to make an order and how to make changes before submitting it.
3.2 Irrespective of any previous price you have seen or heard, once you select a product to order, the website will display the charges you must pay, including GST (if applicable) and any applicable delivery charges. Unless otherwise stated, all charges are in SGD. This is the total amount payable, subject to clause 3.11.
3.3 You shall pay in full at the time of ordering by providing acceptable credit/debit card details and Shopify Payment.
3.4 If payment details are requested, you must be fully entitled to use the payment method and have sufficient funds to complete the transaction.
3.5 You undertake that all details provided for the purpose of purchasing are correct. We reserve the right to verify your payment information before delivering the product.
3.6 You are responsible for reviewing the latest Terms & Conditions each time you submit an order.
3.7 Your order remains valid as an offer until we issue our Confirmation of Order.
3.8 We are not obliged to supply any product until we accept your order. Our Acknowledgement is only informational. We may refuse orders at our discretion, including for supply limitations.
3.9 A Contract is formed when we accept your order via an email Confirmation of Order. This acceptance is deemed effective once dispatched. Until then, we may refuse your order and refund any payments.
3.10 If you make an error in your Order, please contact us at info@chaiyofarm.com.sg immediately. However, we cannot guarantee amendments after submission.
3.11 If pricing changes before acceptance, we will contact you during working hours to confirm whether you wish to proceed at the amended price.
3.12 A Contract only relates to those Products confirmed in the Confirmation of Order.
3.13 You must only submit accurate, up-to-date, and non-misleading information.
4. Cancellation
4.1 We may cancel a contract if the product is unavailable. If so, we will notify you and refund any payment made.
4.2 Refunds will be made using the same payment method used by you.
5. Cancellation by Customer (Non-Faulty Product)
We do not allow cancellation of orders by customers. Once orders are placed, they cannot be modified or canceled. Please review your order carefully before submission.
6. Faulty Products
6.1 We warrant that:
- The Product will be delivered undamaged in the quantities ordered; and
- The Product will conform with the manufacturer’s latest published specifications.
6.2 It is your responsibility to use the Product in accordance with the manufacturer’s instructions.
6.3 We may make minor reasonable changes to Product features before delivery.
6.4 If a Product appears faulty, you agree to keep it in its current condition for our inspection within a reasonable time.
6.5 To claim for a faulty Product, email info@chaiyofarm.com.sg with:
- Your name, contact number, order number, tracking number, and item details;
- A detailed description of the issue and relevant photos.
6.6 If the Product has been misused or damaged after delivery, we may decline a replacement or refund. You may be charged for carriage and other fees. To the extent permitted by law, we are not liable for resulting losses or costs.
7. Limitation of Liability
This clause sets forth our full liability and your exclusive remedies for:
- the performance or delay of these Terms & Conditions, any Contract, or the Site; or
- any issues arising in connection with these Terms & Conditions or any related non-contractual obligations.
8. Guarantee and Complaints Management
8.1 We shall perform our obligations with reasonable care.
8.2 We value customer satisfaction. We will address enquiries promptly, although guarantee claims involving manufacturers may take more time.
8.3 For complaints, describe the issue clearly and send a copy of your Order or order number to us via email. If no confirmation is received within 5 Business Days, please follow up. Some emails may be missed due to spam filters.
9. Circumstances Beyond Our Control
9.1 We shall not be liable for any breach or delay caused by events beyond our reasonable control.
9.2 Either party may terminate the Contract if such an event continues for three Business Days or more. In that case, neither party will be liable except for refunding undelivered, paid-for products.
9.3 If we are unable to fulfil all customer contracts due to such events, we may allocate products at our discretion.
9.4 We are not liable for any damages arising from the use or inability to use our products or website.
10. Notices
10.1 Any notice under a Contract must be sent by email to the recipient’s last known email address.
10.2 Notices by email are deemed served when successfully delivered to the recipient’s server. Proof of delivery shall be sufficient.
11. Advertising on the Site
We will use reasonable efforts to comply with any relevant advertising standards on the Site.
12. General
12.1 We will retain records of your Order and these Terms for six years. You are advised to keep copies for your reference.
12.2 No delay or failure by either party in enforcing rights shall be deemed a waiver.
12.3 If any clause is found unenforceable, the rest shall remain effective.
12.4 Nothing in these Terms creates an agency, partnership, or employment relationship.
12.5 These Terms and related obligations are governed by Singapore law. Parties submit to the non-exclusive jurisdiction of the Singapore courts.
13. Delivery Terms
13.1 We provide delivery to the address specified at checkout. Deliveries are to the main door or ground floor only.
13.2 Delivery personnel are not required to move items beyond the main entrance. Please arrange for assistance if needed.
13.3 For buildings without lift access, deliveries will be made to the ground floor only. The customer is responsible for moving items further.
13.4 We aim to deliver within the estimated window, but delivery times may vary due to external factors. We are not liable for delays outside our control.
13.5 If no one is present at delivery, we may:
- Leave the item at the door (if safe);
- Return it for rescheduling, possibly incurring a re-delivery fee;
- Contact you for alternative arrangements (additional charges may apply).
13.6 Special delivery requests must be stated at checkout and are subject to approval. We are not obligated to fulfil off-standard instructions.
Inspect products upon delivery. Report damages, defects, or errors within 24 hours by emailing info@chaiyofarm.com.sg with photo proof.
14. Amendment to the Terms
We reserve the right to amend these Terms at any time. Updates will be posted online. Continued site use implies acceptance of the latest version.
15. Inaccuracy Disclaimer
Occasionally, website content may include typographical errors, inaccuracies, or omissions in product descriptions, prices, or availability. We reserve the right to correct such errors at any time without notice, including after an Order has been submitted.
